Terms of Service

1. Acceptance of terms

By creating an account or accessing the RichAutomate platform at richautomate.in ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

2. Service description

RichAutomate provides a multi-tenant WhatsApp Business automation platform built on Meta Cloud API, including but not limited to message broadcasting, visual chatbot flow building, Meta Native Flows authoring, shared team inbox, contact management, public REST API, and analytics. Service availability is best-effort and may be subject to scheduled maintenance, third-party dependency disruptions (e.g., Meta, Razorpay, Cloudflare), and force majeure events.

3. Acceptable use

You agree not to use the Service to:

• Send messages to users without explicit, documented opt-in consent.
• Distribute spam, phishing, malware, or unlawful content.
• Promote restricted goods or services (e.g., illegal drugs, firearms, gambling without applicable licenses, adult content).
• Harass, defame, or impersonate any individual or organization.
• Attempt to bypass rate limits, security controls, multi-tenant isolation, or platform safeguards.
• Reverse engineer, scrape, or sublicense the Service without prior written consent.
• Violate Meta's WhatsApp Business Messaging Policy, Indian telecom regulations, or any applicable law.

We reserve the right to suspend or terminate accounts that violate this section, with or without prior notice.

4. Billing and payments

The Service operates on two billing models: Client Pay (direct Meta billing plus a flat platform fee) and SaaS Pay (inclusive per-message pricing). Specific rates are published on the pricing section of the website and may be updated from time to time. Wallet top-ups are processed via Razorpay and are non-transferable. Per-message charges follow Meta's category pricing (Marketing, Utility, Authentication) at the rate published by Meta on the date of message delivery.

5. Refunds

Refunds are governed by the separate Refund Policy. Wallet credits used for messages already dispatched to Meta are non-refundable. Wallet balances unused at account closure may be refunded subject to verification and processing fees.

6. Intellectual property

All content, code, designs, and trademarks on the platform are owned by RichAutomate or licensed to it. You retain ownership of the data and content you upload. You grant RichAutomate a limited license to process that data solely to operate the Service for your benefit.

7. Third-party services

The Service integrates with third parties including Meta Platforms (WhatsApp Cloud API), Razorpay, and Cloudflare. Use of those services is subject to their own terms. We are not responsible for outages, data handling, or policy decisions made by those third parties.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation, message delivery, or specific business outcomes.

9. Limitation of liability

To the maximum extent permitted by law, RichAutomate's aggregate liability under these Terms shall not exceed the fees paid by you to RichAutomate in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption.

10. Indemnification

You agree to indemnify, defend, and hold harmless RichAutomate and its officers, employees, and agents from any claims, damages, liabilities, or expenses arising out of your use of the Service, your content, or your violation of these Terms or any law.

11. Termination

You may close your account at any time. We may suspend or terminate your account for violation of these Terms, non-payment, fraud, or extended inactivity. On termination, the limited license granted to RichAutomate under Section 6 ends, and we will delete your personal data per Section 6 of the Privacy Policy.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in India.

13. Changes

We may modify these Terms at any time. Material changes will be communicated by email and posted with an updated "last updated" date. Continued use after such changes constitutes acceptance.
